1. Agreement to Terms
By accessing or using the website, automations, and engineering services provided by Pronto Code ("Company," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree to all terms, please do not use our website or services.
2. Services
Pronto Code provides custom automation engineering, CRM implementations, workflow optimization, and internal systems development for growing businesses and agencies. Specific scopes of work, milestones, and deliverables are defined in individual Statements of Work (SOW) or service agreements executed with clients.
3. Client Responsibilities
To ensure project success, you agree to: provide accurate and complete project information; grant authorized API keys, tool access, and permissions necessary for implementation; make scheduled payments as agreed in your service contract; and designate an authorized representative for prompt feedback and approvals.
4. Intellectual Property Rights
Unless explicitly outlined in a custom service contract: custom workflows, code repositories, and systems engineered specifically for your business become your property upon full receipt of payment; pre-existing frameworks, proprietary scripts, and internal libraries remain the property of Pronto Code.
5. Payment and Billing
Pricing, payment terms, and invoicing schedules are specified in individual service agreements. Invoices are payable according to the agreed due dates. We reserve the right to pause active development or automation support on accounts with overdue balances.
6. Confidentiality
Both parties agree to treat all business data, client information, system architectures, credentials, and strategic materials as strictly confidential. This confidentiality obligation survives the termination of any project or engagement.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Pronto Code's aggregate liability arising out of or related to any services shall not exceed the total fees paid by you to Pronto Code in the twelve (12) months preceding the incident. In no event will either party be liable for consequential, incidental, or indirect damages.
8. Termination
Either party may terminate an ongoing retainer or service engagement with 30 days written notice, or immediately for material breach of terms. Upon termination, client is responsible for compensation for all work completed up to the effective termination date.
9. Modifications to Terms
We may amend or update these Terms of Service periodically. Your continued use of our site and services following posted revisions signifies your agreement to the modified terms.
